Лицо, выступающее от имени акционера компании на ее собрании, где проводится одно или несколько голосований. Доверенное лицо может не принадлежать к числу акционеров или сотрудников компании; очень часто директора компании предлагают свои кандидатуры в качестве доверенного лица тем акционерам, которые не могут принять участие в собрании. В извещениях о предстоящих собраниях акционеров должно указываться, что акционер имеет право назначать доверенное лицо; при этом компания обычно прилагает к извещению специальный бланк для назначения доверенного лица. Такой заполненный бланк должен быть возвращен в компанию не менее чем за 48 часов до начала собрания. Для того чтобы акционер мог указать, поручает ли он своему доверенному лицу голосовать “за” или “против” какой-то резолюции, печатаются специальные двойные бланки назначения доверенного лица (two-way proxy form). Специальный представитель (special proxy) имеет право выступать от лица акционера на одном определенном собрании; генеральный представитель (general proxy)-на любом собрании.
